TURNKEY ASSOCIATION FORMATION: CZK 2,990

An association (zapsaný spolek, "z.s.") is a non-profit legal entity that you can set up to pursue any shared interest other than doing business. If there are at least 3 of you and you share such an interest, you can carry out a joint activity. This may be of an educational, professional, sporting, environmental, upbringing, artistic, cultural or charitable nature.

What's more, depending on the shared interest, an association may carry out a main and a secondary activity. The main activity aims to satisfy the interest, and the secondary one should support the main activity. Business activity may therefore be a secondary activity, but never the main one. For example: you're interested in developing sport among children, so the main activity is running camps, and the secondary one is renting out a clubroom, the profit from which goes towards running them.

There are 2 basic ways to set up an association: agreement of the founders on the content of the articles of association (stanovy), or a resolution of a so-called constituent meeting. An association then actually comes into existence only upon entry in the Register of Associations (spolkový rejstřík). If you don't know how to draft the articles of association, run a constituent meeting, which documents you'll need according to your shared interest, and you don't want to deal with the administration either, feel free to leave it all to us!

Frequently asked questions from our clients

The advantages of this legal form include:

  • A flexible structure and articles of association
  • An unlimited or limited number of members, as you choose
  • The option to open a bank account
  • Simple bookkeeping
  • To a limited extent, also the option to do business
  • The ability to own movable and immovable property
  • Membership, however, does not establish ownership
  • The option to draw grants
  • Exemption from tax on income from gifts to the association

Formation requires the agreement of at least 3 founders on a shared interest and on the articles of association. The mandatory articles of association are:

  • The name of the association (it must contain the words "spolek", "zapsaný spolek" or the abbreviation "z.s.")
  • The address of the association's registered office
  • The purpose of the association
  • Designation of the association's statutory body
  • Designation of the rights and obligations of the individual members
The main activity of the association must always be the pursuit of the association's goals. It must therefore not be a business or other gainful activity. The association may, however, carry out a secondary economic activity to support the achievement of its main goals, but the earnings from this activity must not be used in any other way.

An association can also be formed at a constituent meeting, but this brings more administration with it. Such a meeting is usually convened where there is a larger number of members.

An association comes into existence upon entry in the Register of Associations. The application for entry must be filed on a so-called intelligent form of the Ministry of Justice to the relevant regional court. The following documents must be attached to the form:

  • The association's articles of association with the founders' signatures, or the minutes of the constituent meeting including the articles of association
  • Consent of the persons who are to be members of the association's bodies and a declaration of eligibility
  • A document proving the legal grounds for using the property as the association's registered office
The signatures on all documents must be officially certified.

The entry of an association is not subject to a court fee.

Yes, every association must have a registered office, so that it can state it in the articles of association and also in the Register of Associations. This registered office may be located at any address – so it makes sense to state the permanent residence address of one of the members of your association's statutory body.

If none of the members wants the association's registered office registered at their address, and as an association you don't want to deal with renting an office you won't even use, then it makes sense to request a virtual registered office. We offer these at great prices too. So which address will it be?
