Memorandum of association of an s.r.o.

The memorandum of association (společenská smlouva) is the fundamental document that defines the relationships between shareholders (společníci) and governs the operation of a limited liability company (s.r.o.). It is an important legal document that sets out the terms of the company's operation and regulates the relationships between the shareholders.

The memorandum of association contains information on who the company's shareholders are, the amount of the company's capital, the obligations of the individual shareholders and how the company is managed. It also contains provisions on how the company's individual bodies will make decisions, for example the general meeting (valná hromada) of shareholders or the managing director (jednatel).

Under the Business Corporations Act (zákon o obchodních korporacích), the memorandum of association must contain certain basic details, such as the company name, the company's registered office, the company's purpose and the amount of the company's share capital.
